TERMS & CONDITIONS OF SERVICE

Effective Date: 08/05/2025

These Terms & Conditions (“Agreement”) govern all services provided by Pix Media (“Service Provider”) to the Client (“Client”). By engaging Pix Media, the Client agrees to the following terms.

1. DEFINITIONS

  • Deliverables: The specific creative products outlined in the Project Scope (e.g., videos, photos, graphics).

  • Project Scope: The services and deliverables selected by the Client via Pix Media’s official Menu System or otherwise agreed upon in writing.

  • Revisions: Client-requested changes to the Deliverables after initial presentation.

2. PROJECT SCOPE AND REVISIONS

2.1 Only items explicitly outlined in the agreed Project Scope are included in the quoted price.

2.2 Unless otherwise stated, no revisions are included in the base quote. Revisions are charged at:

  • A minimum of $100 NZD per round, or

  • $80 NZD/hour, or

  • A custom rate as quoted by Pix Media, depending on the scope of requested changes.

2.3 All revisions must be submitted in one consolidated document or message within five (5) business days of delivery. Any fragmented or delayed feedback may be billed as additional rounds.

2.4 Any requests that significantly alter creative direction, pacing, or structure (e.g. “change the music,” “make it feel different,” “reorder scenes”) shall be treated as scope changes, subject to new fees.

3. PAYMENT TERMS

3.1 A 50% deposit is required to secure all bookings. No work will commence until this is received.

3.2 Upon completion of the Deliverables, Pix Media will issue a final invoice for the remaining balance. Delivery of final files will follow upon receipt of full payment.

3.3 Any additional work requested after the final Deliverables have been sent (e.g. new versions, extra exports, alternate formats, or late-arriving assets) will be treated as a new quote and billed separately.

3.4 Payment is due within seven (7) calendar days of invoice date. Late payments incur:

  • +10% after 7 days

  • +15% after 14 days

3.5 After 21 days of non-payment, Pix Media reserves the right to suspend work and pursue legal recovery of outstanding balances.

4. CLIENT DELAYS & MATERIALS

4.1 All assets (e.g. logos, music, branding, call-to-actions) must be provided before the filming date. Any asset not delivered by this deadline will not be included in the final edit.

4.2 If music is not provided before the shoot and an edit cannot begin, a delay fee of $80 NZD/day may be applied to compensate for timeline disruption.

4.3 If the Client is unresponsive or fails to provide necessary materials for more than 10 business days, the project will be paused. A $75 NZD reactivation fee may apply and subject to availability.

4.4 After 20 business days of non-communication, Pix Media reserves the right to terminate the project, retaining all payments to date.

5. CREATIVE DIRECTION

5.1 If the Client does not provide specific creative direction in advance, Pix Media will execute the project using professional judgment and established aesthetic.

5.2 Any new direction introduced after work begins may be considered a scope change and billed accordingly.

6. USAGE RIGHTS & OWNERSHIP

6.1 Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the Deliverables for digital marketing purposes, including:

  • Website use

  • Social media platforms

  • Internal business presentations

  • Online promotions

6.2 This license does not include broadcast television, paid commercial ads, or cinema use.
→ Any intention to use Pix Media content for TV, radio, paid ad placements, or mass-market distribution must be approved in writing and will require separate advertising usage licensing, quoted at Pix Media’s discretion.

6.3 The Client may not sublicense, sell, modify, or redistribute the Deliverables to third parties without prior written consent.

6.4 Pix Media retains ownership of all raw materials and the right to showcase final Deliverables in its portfolio, showreels, and promotional materials, unless a written NDA is signed in advance.

7. RAW FILES & ARCHIVING

7.1 Raw files are not included unless explicitly licensed. They can be purchased separately.

7.2 Final Deliverables are stored for 90 days. Pix Media is not responsible for long-term archiving unless a storage fee is arranged.

8. MEETINGS & COMMUNICATION

8.1 No meetings, phone calls, or site visits are included in the base quote. All work is executed based on the Pix Media Menu System and written instructions only.

8.2 Clients requiring consultation, strategic input, or custom planning must request a high-tier project quote, which includes pre-production support.

9. CANCELLATION & REFUNDS

9.1 Cancellations before work begins result in forfeiture of the deposit.

9.2 If cancellation occurs after work has begun, Client will be invoiced for time and resources spent, in addition to deposit retention.

10. DELIVERY & DEADLINES

10.1 Delivery timelines are estimates. Pix Media is not liable for delays caused by asset lateness, unclear direction, or scope change.

10.2 Urgent delivery requests (within 48 hours or weekends) may incur a rush fee of $150+ NZD, subject to availability.

11. LIABILITY

11.1 Pix Media is not liable for any indirect, incidental, or consequential damages.

11.2 Projects are considered closed if no concerns are raised within three (3) business days of delivery.

12. GOVERNING LAW

12.1 This Agreement is governed by New Zealand law. Disputes will be handled under New Zealand jurisdiction.

13. ACCEPTANCE

By paying a deposit or confirming a project in writing, the Client agrees to these Terms & Conditions in full.
